By accessing or using AskCupid ("Service"), operated by Enki Studios LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

2. Description of Service

AskCupid is an AI-powered conversational assistant designed to provide dating advice, conversation suggestions, social interaction guidance, couples therapy support, and individual mental health guidance. Our Service includes AI chat functionality with dating, relationship, and mental health advice, conversation history and management, subscription-based premium features, and mobile and web applications.

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 18 years old to use our Service. By using AskCupid, you represent and warrant that you are at least 18 years of age.

3.2 Account Registration

You must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and must notify us immediately of any unauthorized use of your account. You may only create one account per person.

3.3 Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms or engage in harmful behavior.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use our Service to seek dating, relationship, and mental health guidance, practice conversation skills, get suggestions for social interactions, access couples therapy support, receive individual mental health guidance, and access premium features with an active subscription.

4.2 Prohibited Uses

You may NOT use our Service to share, request, or distribute illegal, harmful, or inappropriate content; harass, threaten, or harm others; impersonate any person or entity; attempt to hack, disrupt, or compromise our systems; use automated tools to access our Service without permission; violate any applicable laws or regulations; share content that infringes on intellectual property rights; distribute malicious software or viruses; or engage in any activity that could damage our reputation or business.

4.3 Content Guidelines

You must not share personal information of others without consent and should respect privacy and confidentiality. Do not use the Service for commercial purposes without authorization, and ensure that content complies with applicable laws and community standards.

5. AI Service Disclaimer

5.1 Nature of AI Responses

Our AI assistant provides conversational responses based on your inputs. You acknowledge and agree that AI responses are generated automatically and may not always be accurate. The AI does not replace professional counseling, therapy, mental health treatment, or medical advice, and responses are for informational and general guidance purposes only. The AI may occasionally produce inappropriate or unexpected responses.

5.2 No Professional Advice

AskCupid does not provide professional relationship counseling, therapy, mental health treatment, medical, legal, or financial advice, guaranteed outcomes for dating, relationship success, or mental health improvement, or personalized advice from licensed professionals.

5.3 User Responsibility for AI Content

You are solely responsible for how you interpret and act on AI-generated advice, your interactions with others based on AI suggestions, decisions regarding mental health, therapy, or medical treatment, evaluating the appropriateness of AI responses for your situation, and any consequences resulting from following AI guidance.

6. Subscription and Payment Terms

6.1 Subscription Plans

We offer subscription-based premium features that are processed through RevenueCat and app store billing. Plans may include weekly, monthly, or other billing cycles, and features and pricing are subject to change with notice.

6.2 Payment and Billing

Subscriptions automatically renew unless cancelled, and you are responsible for all charges associated with your account. Refunds are handled according to app store policies, and failed payments may result in service suspension.

6.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and there are no refunds for partial billing periods unless required by law. Access to premium features ends when subscription expires.

7. Intellectual Property Rights

7.1 Our Rights

AskCupid and all related content are owned by Enki Studios LLC. Our trademarks, logos, and brand elements are protected intellectual property. The AI technology and underlying software are proprietary, and you may not copy, modify, or distribute our proprietary content.

7.2 Your Content

You retain ownership of content you create and share through our Service. By using our Service, you grant us a license to process and store your content. You are responsible for ensuring you have rights to any content you share, and we may remove content that violates these Terms.

7.3 Third-Party Content

Our Service may include third-party content or links. We do not endorse or control third-party content, and third-party content is governed by separate terms and policies.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to our Privacy Policy.

9. Fair Use Policy

While we offer extensive daily conversations to support your personal growth and relationship goals, we implement fair use limits to ensure service quality and availability for all users:

9.1 Usage Limits

  • 150 messages per 24-hour period
  • Users may receive notifications when approaching daily limits
  • Limits reset at midnight UTC daily

9.2 Monitoring and Enforcement

We monitor usage patterns to ensure compliance with this fair use policy. If usage exceeds these limits or appears to violate fair use principles, we may:

  • Temporarily restrict access until the next reset period
  • Provide options to upgrade to higher-tier plans
  • In cases of severe abuse, suspend or terminate accounts

9.3 Legitimate Usage

These limits are designed to accommodate heavy personal usage while preventing automated, commercial, or abusive use of our Service.

10. User-Generated Content and Feedback

10.1 User Content

You may submit content through our Service, including text, images, files, and other materials ("User Content"). You retain ownership of your User Content, but grant us a license to process, store, and analyze it to provide our AI services.

10.2 Feedback and Suggestions

You acknowledge and agree that:

  • We do not control third-party services and are not responsible for their availability, functionality, or content

12.3 No Liability for Third-Party Services

We shall not be liable for any damages, losses, or issues arising from third-party services, including but not limited to service interruptions, data loss, or security breaches in third-party systems.

  • Our Service cannot provide immediate emergency assistance
  • AI may not always detect or appropriately respond to crisis situations

13.3 Emergency Situations

If you are experiencing a mental health crisis or emergency:

  • Contact emergency services (911) immediately for life-threatening situations
  • Reach out to crisis hotlines for immediate professional support
  • Seek help from local emergency services or mental health professionals
  • Do not rely solely on our AI for crisis intervention

13.4 Reporting and Response

While we implement crisis detection protocols, we are not obligated to monitor all conversations or provide emergency intervention services.

14. Disclaimers and Limitation of Liability

9.1 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING merchantability and fitness for a particular purpose, accuracy, reliability, or completeness of AI responses, uninterrupted or error-free service operation, and security or freedom from viruses or harmful components.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENKI STUDIOS LLC SHALL NOT BE LIABLE FOR any indirect, incidental, special, consequential, or punitive damages, loss of profits, data, or business opportunities, damages arising from AI-generated content or advice, harm resulting from user interactions based on our Service, third-party actions or content, or service interruptions or technical issues.

9.3 Maximum Liability

Our total liability to you for any claim shall not exceed the amount you paid for our Service in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless Enki Studios LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our Service, your violation of these Terms, your violation of any third-party rights, content you submit or share through our Service, or your interactions with others based on AI suggestions.

16. Service Availability and Modifications

11.1 Service Availability

We strive to maintain Service availability but cannot guarantee uninterrupted access. We may temporarily suspend Service for maintenance or updates, and we are not liable for service outages or technical difficulties.

11.2 Service Modifications

We reserve the right to modify, update, or discontinue features and may change subscription pricing with appropriate notice. Significant changes will be communicated to users, and continued use after changes constitutes acceptance.

17. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using account deletion features.

12.2 Termination by Us

We may terminate or suspend your access immediately if you violate these Terms or our policies, engage in harmful or illegal activities, fail to pay subscription fees, or create security risks or threaten our Service.

12.3 Effect of Termination

Upon termination, your access to premium features ends immediately. We may delete your account data according to our Privacy Policy, provisions that should survive termination remain in effect, and you remain liable for any outstanding obligations.

18. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of New Jersey, United States, without regard to conflict of law principles.

13.2 Arbitration Agreement

Any disputes arising from these Terms or your use of our Service shall be resolved through binding arbitration rather than in court, except for claims that can be brought in small claims court, injunctive relief for intellectual property violations, or disputes that cannot legally be arbitrated.

13.3 Class Action Waiver

You agree that disputes must be brought individually and not as part of a class action or collective proceeding.

19. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Enki Studios LLC.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

14.3 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

14.4 Assignment

We may assign these Terms to any affiliate or successor. You may not assign your rights without our written consent.
